<div id="jobDescriptionText" class="jobsearch-jobDescriptionText jobsearch-JobComponent-description css-1x2lix0 eu4oa1w0"><div> <div> Location: </div> 1000 South McCaslin Boulevard - Superior, Colorado 80027-9437 <div></div> <div> The KeyCorp Legal Department is seeking an experienced attorney to provide primary transactional counsel for the Specialty Financing Lending arm (“SFL”) of Key Equipment Finance, a division of KeyBank National Association (“KEF”), the nationally ranked equipment finance arm of KeyBank National Association. KeyBank National Association is a subsidiary of KeyCorp, a super-regional financial services institution based in Cleveland, Ohio. Reporting to the Assistant General Counsel charged with managing overall legal support for KEF, the successful candidate will also provide secondary transactional counsel to other areas within KEF, as described below and otherwise assigned from time to time. </div> <div></div> <div> The ideal candidate will have a mix of law firm and in-house experience, with a demonstrated focus on structured and specialty finance and equipment financing. Candidates willing to work on-site at KEF’s Superior, Colorado headquarters or at its Cleveland, Ohio or Albany, New York locations are preferred. Remote/hybrid arrangements may be considered. </div> <div></div> <div> About SFL: </div> <div></div> <div> SFL is focused on providing capital (both balance sheet and via debt capital markets) to specific sectors of the private, non-regulated commercial &amp; consumer finance industry and the equipment finance &amp; leasing industry. SFL consists of a fully integrated platform (origination &amp; structuring, credit, portfolio management, analytics &amp; modeling, operations, legal, compliance and syndications) inside KeyBank National Association. </div> <div></div> <div> ESSENTIAL DUTIES: </div> <div></div> <div> Advise SFL and KEF senior business leadership and functional area heads (e.g., sales, credit, underwriting, and operations) on all legal aspects of: (1) as a primary emphasis, highly complex, structured finance transactional matters involving SFL; and (2) as a secondary emphasis, transactional matters involving the commercial middle-market, capital markets and public sector finance businesses within KEF, as determined by the Assistant General Counsel. </div> <div></div> <div> Since the role will be primary as to SFL and secondary (i.e., overflow) as to KEF, the below references SFL and SFL-specific transactional matters only. </div> <div></div> <div> Specific duties will include: </div> <div></div> <ul> <li> Supervise activities of outside counsel on SFL transactional matters, including growth capital financing, asset-based lending, equipment leases and finance agreements, transportation finance, and collateralized loan obligations.</li> <li> Act as liaison between outside counsel and SFL senior business leadership and functional area heads in connection with the review and negotiation of customer-facing financing documentation.</li> <li> Draft, review and negotiate customer-facing financing documentation, including credit agreements and all related loan documents, security agreements, trust agreements, custodial agreements (including verification agent terms), electronic collateral control agreements, subordination agreements, intercreditor agreements, participation agreements, assignment agreements, servicing agreements, CLO-related agreements, guaranties, warrants, collateral release documentation, UCC filings, consent agreements, waivers, deposit account control agreements, term sheets, opinions of counsel, nondisclosure agreements, and notices.</li> <li> Develop and maintain strong collaborative and collegial relationships with SFL senior business leadership and functional area heads, as well as with Key Legal colleagues supporting other areas within Key.</li> <li> Participate with SFL senior business leadership and functional area heads in reviewing, assessing and implementing SFL business and strategic initaitives and special projects.</li> <li> Advise and direct SFL on its rights and obligations relating to varying roles as administrative agent, payment agent, servicer, manager, or a lender as part of a syndicate.</li> <li> Cooperate and advise on securitizations as counsel for administrative agent and/or lender.</li> <li> Perform legal research and provide timely legal advice on complex financing (and related) matters, while leveraging on the knowledge and capabilities of Key Legal colleagues supporting other areas within Key.</li> <li> Keep informed on legislation, court cases, market conditions and other decisions related to the operation of SFL and disseminating developments to SFL senior business leadership and functional area heads.</li> <li> Participate actively in SFL training initiatives, including the development and presentation of training and educational sessions for business colleagues on relevant legal topics.</li> <li> Develop and maintain a network of industry professionals.</li> </ul> <div></div> <div> REQUIRED EXPERIENCE / QUALIFICATIONS: </div> <div></div> <ul> <li> Bachelor’s degree, juris doctorate.</li> <li> License as required by state of practice.</li> <li> At least 7 years of relevant experience.</li> <li> In-depth technical knowledge of the structured and speciality finance and equipment financing industry, preferably acquired within a bank environment.</li> <li> Proven comfort level/experience working with senior-level management.</li> <li> Excellent organization, prioritization and multitasking skills, practical and effective problem-solving skills, strong analytical, negotiation, and communication skills.</li> <li> Ability to balance competing priorities and execute assignments in a timely manner.</li> <li> Ability to exercise sound judgment and deliver commercially focused legal advice while appropriately considering risks to Key.</li> <li> Ability to interact effectively and collaboratively not only with SFL senior business leadership and functional area heads, but also with staff and other employees of all levels, as well as with colleagues from other areas of Key Legal and outside counsel.</li> <li> Ability to anticipate client needs based on understanding of business and regulatory environment and stated priorities of SFL senior business leadership.</li> <li> Ability to undertake such travel as required by SFL.</li> </ul> <div></div> <div> COMPENSATION AND BENEFITS </div> <div> This position is eligible to earn a base salary in the range of $140,000 to $154,000 annually depending on location and job-related factors such as level of experience.
