We look forward to coming to work every day to support Equinix and each other and highly value the “team first” culture we have created.</p> <p></p> <p> This new role of Legal Counsel, Corporate will be part of our core xScale Legal team and primarily responsible for providing corporate law and related support for a range of areas across the xScale business and support functions for xScale, in particular for Corporate Development, Finance, Tax and Treasury on a wide range of corporate law matters, with a particular focus on:</p> <ul> <li><p> providing corporate legal support for the establishment and maintenance of our xScale joint ventures globally, and ancillary documents, which are joint ventures set up with investment partners to pursue our larger scale deployments with certain nominated cloud service and technology providers</p></li> <li><p> providing support for all other corporate legal work associated with the xScale business and its legal entities and act as a point of contact in Legal for business functions and other parts of One Legal supporting the xScale business, building close working relationships with members of those functions</p></li> </ul> <p></p> <p><b> What You'll Do</b></p> <ul> <li><p> Act as a member of the team developing specific expertise to support our xScale business within Equinix and leverage the expertise of Equinix in developing and operating world class data centers</p></li> <li><p> Support for corporate law aspects of organic and inorganic expansion of the xScale business, including support for any M&amp;A transactions conducted through the xScale joint ventures, advising on use of legal entities, incorporation of new entities, etc</p></li> <li><p> Having a sound understanding of business decisions related to the company's status as a US Real Estate Investment Trust (REIT) and assisting with REIT issues and analysis related to customer agreements and legal entity formation as far as it relates to the xScale business. No REIT prior experience is expected, and the successful candidate will receive REIT training and will be fully supported</p></li> <li><p> Support for corporate restructuring projects within the xScale business portfolio, including incorporating new legal entities, undertaking company statutory mergers or transfers of assets, undertaking recapitalizations as required, winding up dormant entities, etc</p></li> <li><p> Support for ensuring compliance with regard to xScale and wider Equinix policies, processes and procedures to ensure proper governance is followed concerning Board meetings, managing the series of inter-company agreements in place to support the xScale operating model, addressing issues from time to time, etc</p></li> <li><p> Co-ordinating with other One Legal team members responsible for maintaining the xScale group legal entities, including preparing board and shareholder resolutions, coordinating filing of annual returns, maintaining updated corporate records, etc</p></li> <li><p> Support for the Finance department in relation to legal queries relating to the preparation and finalization of the US GAAP and local statutory accounts and the accompanying audit processes for the xScale legal entities, including providing corporate documentation, reviewing and advising on representation letters, etc</p></li> <li><p> Advising on ad hoc corporate legal or regulatory issues affecting the xScale business, e.g., advising upon directors’ duties etc</p></li> <li><p> Liaison with external legal counsel in various jurisdictions engaged to provide legal support for the various xScale business activities referred to above, where local law input is required; and</p></li> <li><p> Aside from line management, report on legal activity in relation to areas of responsibility to VP, Legal, xScale and SVP, Legal &amp; Deputy General Counsel</p></li> </ul> <p></p> <p><b> What You'll Need</b></p> <ul> <li><p> Degree qualification, with solid post qualification experience (approx. 3-5 years) in middle or top tier law firm and/or a large multi-national organization is essential</p></li> <li><p> Some in-house experience, including by way of secondment, is desirable</p></li> <li><p> IT, telecom and/or real estate industry experience is preferred</p></li> <li><p> Strong communication and relationship building skills, and experience (internal or external) working with other business focused personnel is essential</p></li> <li><p> Strong attention to detail</p></li> <li><p> Strong ability to organize and prioritize tasks and workload, and good administrative skills. Ability to work with tight deadlines</p></li> <li><p> Strong ability to take a pragmatic and commercial approach.
