SUMMARY: Duane Morris is seeking an experienced Paralegal to work under the direction of practicing attorneys and provide substantive legal support to the Corporate Practice Group. ESSENTIAL FUNCTIONS: Drafting and filing corporate documents in multiple states including Pennsylvania, New Jersey and Delaware Preparing and reviewing SEC filings and UCC financing statements Conducting and summarizing UCC searches Maintaining corporate records for a variety of clients Creating and monitoring transaction timelines and checklists Maintaining minute books and corporate records Preparing and filing formation and dissolution documents for corporate entities Preparing final closing and post-closing documentation for financial and merger and acquisition transactions Prepare federal and Blue Sky filings for equity financings Coordinating of documentation for equity financings and merger and acquisition transactions QUALIFICATIONS (Minimum knowledge, skills, and experience requirements): Bachelor’s Degree and/or Paralegal Certificate At least 5 years’ of corporate paralegal experience Strong technical skills: able to prepare documents in Microsoft Word/PowerPoint/Excel including editing and redlines and working knowledge of Excel Strong verbal and written communication and interpersonal skills Strong proofreading, grammar, organizational and time management skills Strong analytical skills Extremely accurate and detail oriented
