<div id="jobDescriptionText" class="jobsearch-jobDescriptionText" dir="ltr"><div> <p>Position: Senior Business Counsel</p> <p> Location: Atlanta, GA</p> <br> <p></p> <p> Overall Purpose:</p> <p> Reporting to the lead Segment Counsel of Newell Brands Home and Commercial Segment, the Senior Business Counsel role is responsible for supporting the lead Segment Counsel in day-today legal affairs and direct interface with and delivery of counsel to business counterparts in the Company. Key responsibilities include, among others, contract review and negotiation; marketing and advertising claims advice; regulatory compliance advice; administration of legal topics training; supporting company data privacy program; and support on key strategic initiatives, including reorganizations, mergers &amp; acquisitions, and ecommerce matters. The role also entails regularly working with other internal specialized attorneys and other roles within the Company on certain areas such as intellectual property, employment litigation and counseling, regulatory matters and product liability litigation, as well as working collaboratively with international legal team members. The Senior Business Counsel role presents a great opportunity for engaging on a breadth of interesting legal topics, interfacing with company clients at all levels and functions, at a global consumer goods company delivering a diverse range of consumer products through multi-channel capabilities.</p> <br> <p></p> <p> Specific Accountabilities:</p> <ul> <li><b>Assist with business segment Legal Affairs: </b>Providing support for all legal services provided to the business segment. Provide direct legal support and coordinate legal services provided by internal legal specialists and international legal teams, as well as outside counsel. Counsel business clients on a full range of legal issues, including advertising and marketing claims, contract negotiations, data privacy regulations, compliance, product safety, antitrust, and product packaging and labelling.</li> </ul> <br> <p></p> <ul> <li><b>Negotiate and Draft Commercial Agreements: </b>Draft and review contracts with global customers, distributors, suppliers, and service providers. Negotiate key agreements in partnership with business clients and advise on the impact of key terms. Collaborate and coordinate with international and regional team legal team members on drafting, negotiating and executing contracts and agreements.</li> </ul> <br> <p></p> <ul> <li><b>Review Marketing Materials and promotions: </b>Educate internal business clients on legal requirements associated with sales activity, advertising, contests and promotions, and social-media based consumer marketing. Review product marketing claims and advertising. Coordinate the same with international legal teams for commercial activity outside of North America. Provide regular training on marketing and competition laws.</li> </ul> <br> <p></p> <ul> <li><b>Support Disputes and Litigation</b>: Proactively assist business clients in mitigating business risk, managing early stage disputes, and developing proposals for resolution. Work with internal litigation specialists and manage outside counsel throughout the region as needed.</li> </ul> <br> <p></p> <ul> <li><b>Assist in Acquisition and Divestiture Activity</b>: Work with the Company’s Corporate Development function and other legal team members to assist in the acquisition or divestiture activities.</li> </ul> <br> <p></p> <ul> <li><b>Advise on Regulatory Matters:</b> together with the Company’s regulatory counsel, advise business partners on compliance with regulatory issues affecting the business and assist with execution of compliance and training initiatives.</li> </ul> <br> <p></p> <p> Qualifications</p> <ul> <li>Juris Doctorate from well regarded, ABA approved law school</li> <li>4+ years relevant experience</li> <li>Licensed to practice in at least one state</li> <li>Hands-on legal professional possessing outstanding technical, analytical skills, communication and influencing skills</li> <li>Proven maturity level / presence with senior executives, good presentation skills</li> <li>Potential for professional progression and development</li> </ul> <br> <p></p> <p> Essential Skills &amp; Knowledge:</p> <ul> <li>Expertise in commercial law</li> <li>Experience with litigation and intellectual property matters</li> <li>Experience with public, multi-national corporations</li> <li>Strong contract drafting skills</li> <li>Ability to work in an organized, detailed manner under tight deadlines</li> <li>Expertise in dealing with complex business issues and grasp complex legal issues quickly</li> <li>Excellent communication skills, ability to present complex information in simple terms</li> <li>Ability to work in a collaborative manner</li> <li>Strong negotiations skills</li> <li>Motivated, self-started, and ability to independently manage workload</li> </ul> <br> <p></p> <p> Preferred Skills and Knowledge:</p> <ul> <li>In-house Counsel experience strongly preferred</li> <li>Experience with Consumer Goods industry</li> <li>Experience with laws and regulations applicable to data privacy and ecommerce</li> </ul> <br> <p></p> <p> Key Interfaces:</p> <ul> <li>Procurement specialists</li> <li>Product managers and direct reports</li> <li>Marketing personnel</li> <li>Product designers and engineers</li> <li>Risk Management</li> <li>Outside counsel</li> <li>Specialist attorneys in the Company (litigation; trademark; patent; employment; regulatory; securities)</li> <li>Legal department and business segment leadership</li> </ul> <div> <div> <br> <div> </div> </div> </div> <br> <p></p>Newell Brands (NASDAQ: NWL) is a leading global consumer goods company with a strong portfolio of well-known brands, including Rubbermaid, FoodSaver, Calphalon, Sistema, Sharpie, Paper Mate, Dymo, EXPO, Elmer's, Yankee Candle, Graco, NUK, Rubbermaid Commercial Products, Spontex, Coleman, Campingaz, Oster, Sunbeam and Mr. Coffee.
