Our lawyers have experience working with companies in the energy, mining, technology, hospitality, private equity, manufacturing, asset management, and aviation industries Summary Supports attorneys with respect to corporate legal matters. Prepares and maintains corporate governance, business organizational and formation documents and other corporate documents including, but not limited to, board resolutions, minute books, entity formation and dissolution documents, stock certificates, merger agreements, and contracts. Supports attorneys by interfacing with corporate service companies, registered agents, and state level business entity divisions (e.g., secretaries of state) including in connection with UCC and other state level searches. Provides support in connection with M&A/corporate transaction closings and Delaware and Colorado corporate law matters, securities transaction closings, state and federal securities law filings (including Form D and blue sky), simple IRS filings, real estate transactions, and Simplifile. Conducts due diligence in connection with M&A, financing, and real estate transactions. Essential Functions Drafting, managing, and filing with State agencies various business entity documents for corporations, LLCs, and partnerships. Drafting correspondences and other documents. Significant and recent experience with M&A/corporate due diligence and transaction closing and Delaware and Colorado corporate law matters. Basic knowledge of federal and state securities law (including Form D and blue sky) is strongly encouraged. Required Skills/Abilities Ability to learn, interpret, and apply policies and procedures Detail oriented and professional demeanor Ability to effectively communicate and work cooperatively with attorneys, staff, clients, coworkers, and vendors Ability to act as a peer mentor and assist with training as needed Advanced proficiency with, or ability to learn, the firm software(s) used for conflicts, records, timekeeping and billing, document management and workflow; actively participates when new technologies are rolled out, and exhibits willingness to attend trainings Excellent understanding of legal, clerical, and court systems Ability to organize and prioritize tasks including delegation of tasks when appropriate Extensive knowledge of the roles and function of the assigned department, and any specifically applicable laws or guidelines Ability to recreate content based on experience Supervisory Role None Work Environment This job operates in a professional office environment with some ability to work from home. Because this position will be handling client information, employees must work from a home office and not a public location during any remote periods. This role routinely uses standard office equipment. Hours are Monday through Friday, 8:00 am to 5:00 pm, with some flexibility in start and end times. Occasional overtime is required. Required Education and Experience High school degree or equivalent and a minimum of five to seven years of paralegal experience or equivalent, including EDGAR SEC filing experience.
