Summary Supports attorneys with respect to corporate legal matters. Prepares and maintains corporate governance, business organizational and formation documents and other corporate documents including, but not limited to, board resolutions, minute books, entity formation and dissolution documents, stock certificates, merger agreements, and contracts. Supports attorneys by interfacing with corporate service companies, registered agents, and state level business entity divisions (e.g., secretaries of state) including in connection with UCC and other state level searches. Provides support in connection with M&A/corporate transaction closings and Delaware and Colorado corporate law matters, securities transaction closings, state and federal securities law filings (including Form D and blue sky), simple IRS filings, real estate transactions, and SimpliFile. Conducts due diligence in connection with M&A, financing, and real estate transactions. Essential Functions Drafting, managing, and filing with State agencies various business entity documents for corporations, LLCs, and partnerships. Drafting correspondences and other documents. Significant and recent experience with M&A/corporate due diligence and transaction closing and Delaware and Colorado corporate law matters. Basic knowledge of federal and state securities law (including Form D and blue sky) is strongly encouraged. Technology: Type approximately 60 net words per minute; must be proficient in Microsoft Office (Word, Outlook, Excel, PowerPoint), Adobe Acrobat Pro, Nuance Power PDF, OneDrive, iManage, Aderant, and DocuSign (or similar document management and time entry programs); strive to become proficient in new technology rollouts and willingness to attend trainings when offered. Teamwork: Ability to effectively communicate and work cooperatively with attorneys, staff, clients, coworkers, and vendors; proactively demonstrates effective teamwork and provides assistance to other paralegals as time permits; operates as a backup paralegal when needed; analytic ability to apply knowledge to practical applications and to foresee possible problems and effective solutions. Miscellaneous: Maintains confidentiality of all client and firm information; ability to work independently and effectively under time constraints and pre-set deadlines in an accurate manner with consistent high production; requires minimal supervision; ability to generate and implement new procedures for specific situations; willingness to meet the requirements of the position, accepting a wide variety of assignments as called upon; demonstrate skills in organizing and prioritizing multiple tasks; demonstrate reliability and willingness to work in a complex environment; other duties as assigned. The employee must occasionally lift or move office products and supplies, up to 20 pounds. Position Type and Expected Hours of Work This is a full-time, benefit eligible position. Days and hours of work are Monday through Friday, 8:00 a.m. to 5:00 p.m. Required Education and Experience High school degree or equivalent and a minimum of five to seven years of paralegal experience or equivalent, including EDGAR SEC filing experience. Preferred Education and Experience A bachelors degree and five to seven years of paralegal experience. Additional Eligibility Qualifications Paralegal Certificate.
