This attorney will provide legal support to PineBridge’s Alternatives business. A significant portion of time will be dedicated to PineBridge’s Private Credit team, with occasional collaboration with the attorneys in PineBridge’s Private Funds Group. This is a great opportunity to join a hardworking, collaborative, and dynamic legal team that is closely integrated with a growing business. </div> <div></div> <div> This role will be based in PineBridge’s Westport, Connecticut office with the expectation of a hybrid work model. </div> <div></div> <div> Primary Responsibilities: </div> <ul> <li> Overseeing and supporting external counsel on loan and fund investment transactions, including providing advice relating to compliance with investment guidelines and side letter provisions</li> <li> Supporting the senior product attorneys in handling the structuring of funds and preparation and negotiation of fund documents, including PPMs, LPAs, subscription agreements, and side letters</li> <li> Advising on investment, administration, and operations processes, including support of investment committee process</li> <li> Coordinating fund closing process with external legal counsel, fund administrators, investment operations, finance, and tax</li> <li> Applying for applicable lender licenses in coordination with senior product attorneys</li> <li> Overseeing fund investor transfers</li> <li> Leading external counsel NDA team and acting as a point of contact for material issues</li> <li> Assisting with other workstreams in Alternatives business as needed from time to time</li> </ul> <div></div> <div> Qualifications: </div> <ul> <li> J.D. with an excellent academic record</li> <li> At least four (4) years at a major law firm or in-house legal department working in private credit, private funds or asset management</li> <li> Familiarity with the US Advisers Act, US federal securities laws, and AIFMD</li> <li> Experience with credit funds/fund finance a plus</li> <li> International/cross-border experience a plus</li> <li> Commercial orientation and ability to counsel stakeholders as a thought partner, biased towards considered action rather than the provision of legal advice alone</li> <li> Excellent communication, advocacy and interpersonal skills</li> <li> Willingness and desire to develop knowledge of new asset management products and distribution strategies</li> <li> Ability to adapt to change, multitask within tight timelines, work independently and in a team</li> </ul> <div></div> <div> About PineBridge </div> <div> PineBridge is proud of our award-winning culture, which reflects our commitment to empowering employees and fostering a collaborative work environment.
