If you are looking for a career that creates impact both personally and professionally; you are in the right place.</p> <p> The Senior Counsel, Securities will report to the SVP – Legal and be directly involved in securities filings, securities offerings, corporate governance, compliance, and general corporate matters.</p> </div> </div> <p></p> <div> <div> <h2 class="jobSectionHeader"><b><br> Responsibilities</b></h2> </div> <div> <ul> <li> Take a lead role in drafting filings with Securities and Exchange Commission, including annual and quarterly reports on Forms 10-K and 10-Q, current reports on Form 8-K, Proxy Statements, and Section 16 filings;</li> <li> Take a lead role in all stages of Company securities offerings (debt and equity);</li> <li> Advise on federal securities laws and ensure compliance with SEC and NYSE rules;</li> <li> Assist in corporate governance matters, including updates to corporate charters and policies, drafting resolutions and other actions for the parent and subsidiary entities</li> <li> Assist with coverage of general corporate matters and supporting compliance efforts, including the review of policies, procedures and trainings</li> <li> Work cross functionally with the legal, accounting and finance teams</li> <li> Manage external counsel in securities and corporate activity, as needed</li> <li> M&amp;A experience is a plus, but not required</li> </ul> </div> </div> <div> <div> <h2 class="jobSectionHeader"><b> Qualifications</b></h2> </div> <div> <ul> <li> JD degree, admission to a state bar and minimum of 5+ years of direct securities experience at law firm or combination of law firm and in-house counsel experience </li> <li>Experience with company security filings, offerings and corporate governance matters</li> <li> Excellent interpersonal skills, including ability to work as part of a team and drive a large group process.</li> <li> Strong attention to detail and organizational skills.</li> <li> Demonstrated ability to work in a fast-paced, entrepreneurial environment and to perform well under pressure while handling multiple tasks, and ability to work a flexible schedule.</li> <li> Self-starter interested in dynamic and growing company</li> </ul> <p><br> </p> </div> </div> </div> <p>Altice USA is an Equal Opportunity Employer committed to recruiting, hiring and promoting qualified people of all backgrounds regardless of gender, race, color, creed, national origin, religion, age, marital status, pregnancy, physical or mental disability, sexual orientation, gender identity, military or veteran status, or any other basis protected by federal, state, or local law.</p> <p></p> <p><br> Altice USA, Inc. collects personal information about its applicants for employment that may include personal identifiers, professional or employment related information, photos, education information and/or protected classifications under federal and state law. Salary ranges are supplied in compliance with New York State law. Pay is competitive and based on a number of job-related factors, including skills and experience. The starting pay rate/range at time of hire for this position in the posted location is $161,186.00 - $264,805.00 / year.
