The Role Department: Tax Location: London Role: Senior Associate, Permanent The Team We have a market leading tax team that consistently advises on the tax aspects on some of the most complex and high-profile real estate and corporate projects and employment issues in the last 12 months. The three most senior members of the team all have considerable personal standing as tax experts (having previously been noted and/or commended in Chambers or Legal 500). We frequently advise the largest insurance underwriters, brokers and agents on a wide range of issues concerns their businesses. We provide specialist taxation advice to domestic and international organisations, using the strength of our global office network to ensure our guidance and support reflects local legislation and practice. Our tax specialists work closely with our clients’ own corporate, commercial and finance teams to minimise tax costs and maximise tax reliefs. This includes the tax aspects of mergers and acquisitions, restructures, listings and joint ventures. As the market’s leading legal practitioner in the insurance sector, we serve the company and Lloyd’s markets and address the needs of underwriters, agents and brokers. We are well versed in the working of insurance premium tax regimes and act for insurers and insureds in professional indemnity cases. Other areas of focus include real estate, where we provide specialist tax advice on all transactions, the tax aspects of employee benefits and incentives, customs duties and trade taxation, and tax disputes and investigations. Notable cases, not limited to but including: Advising on certain UK tax issues in relation to the USD800 million financing of a Floating Production Storage and Offloading vessel, including in relation to the security documents and co-ordination agreement between the borrower, the lenders and the field operator, and its joint venture partners. Advising a large hotel group on various tax matters, concerning the £86 million multi-tranche facility agreement entered into with a global banking group, securing a number of hotel properties in the South West and advising the group on a complex mixed-use development of a harbour front in Southampton including the construction of a hotel, residential apartments and commercial/retail units, acting for the developer/borrower. Advising insurers on the tax ramifications and tax strategies of various tax indemnity insurance policies relating to different tax planning risks, including in relation to capital gains tax planning (using offshore trusts) and employee incentive. We acted for a large industrial organisation on the sale and development agreement, giving Real Estate, Construction, Planning and Tax advice. The transaction was a complicated one with the three blocks linked to the development of an additional affordable housing block. We analysed and advised on the VAT and SDLT aspects of the transactions, including complex overage and barter transaction aspects. Essential Skills & Experience We are looking for a senior tax lawyer to add to our team who would be attracted by the broad nature of this practice - the right candidate may already be operating at Senior Associate level, or at Legal Director/ Of Counsel (so ideally 5+ years’ plus PQE). The successful candidate will display excellent legal ability and initiative, strong technical skills as well as confidence in managing and prioritising a full and varied caseload. They will be a strong communicator with good attention to detail. Ideally candidates will have corporate tax experience in private practice, but we will also consider applicants who have worked in-house for organisations like HMRC. In addition, they will have excellent academics and a willingness to learn and support more junior colleagues. There is a good potential pathway to partnership for the right candidate.
