The Transactions Counsel will report to the EVP Chief Legal and Compliance Officer and will be the company’s leading lawyer on mergers and acquisitions, finance transactions, and other significant transactions involving Millicom and its affiliates. The Transactions Counsel is expected to advise the Executive Team and work closely with the M&amp;A and Treasury teams, as well as other key stakeholders. </div> <div></div> <div> Essential Duties and Responsibilities </div> <div></div> <div> Duties include those listed below as well as others that may be assigned as needed: </div> <ul> <li> <div> Lead negotiations and all legal aspects of mergers and acquisitions. These are among the most sensitive and strategic matters of the company, with values typically in the hundreds of millions or billions of dollars. The work of this role will have a direct and major impact on the success or failure of these transactions. </div></li> <li> <div> Ensure Millicom is able to obtain financing necessary to carry out its strategic and business plans, leading negotiations and legal aspects of treasury and financing transactions, including bond offerings, credit facilities and similar matters. These transactions also tend to be worth hundreds of millions or billions of dollars and are critical for Millicom’s ongoing business. </div></li> <li> <div> Advise the Executive Team and senior management regarding risks and mitigation of risks for major transactions. In light of the amounts involved, the complexity of these matters and the high risks associated with them, this role will play a critical function in protecting Millicom, risk management and controls. </div></li> <li> <div> Lead and oversee large, multi-country, cross-functional teams, including internal personnel and external counsel in multiple countries. Strong leasdership skills, communication and seniority are critical to this job. Management of external counsel involves oversight and control of multimillion-dollar budgets in an efficient manner. </div></li> <li> <div> Execute on key aspects of major transactions, including drafting and negotiating legal documents, mananging negotiations, identifying key risks and levers for value creation, and developing creative solutions for achievement of transactions. </div></li> <li> <div> Manage public disclosures and securities filings, ensuring compliance with complex regulatory environment across US, Luxembourg, Sweden and local jurisdictions while managing associated risks. </div></li> <li> <div> Exercise other duties or functions as required in the capacity of legal counsel to Millicom. </div></li> <li> <div> Domestic and international travel is required. </div></li> </ul> <div></div> <div> Qualifications </div> <div></div> <div> The requirements listed below are representative of the knowledge, skill, and/or ability required: </div> <ul> <li> <div> Juris Doctorate degree from an accredited law school and an active license to practice law in the United States; </div></li> <li> <div> Minimum seven years of directly relevant experience (with greater experience preferred), which should include strong M&amp;A experience and international transactions experience at a leading law firm; </div></li> <li> <div> Previous in-house experience preferred; </div></li> <li> <div> Previous experience on financing transactions and/or securities law preferred; </div></li> <li> <div> Telecommunications experience is a plus; </div></li> <li> <div> Strong leasdership skills, communication and seniority, with proven ability to build strong working relationships with senior management, as well as internal clients at all levels of managements; </div></li> <li> <div> Must be fully bilingual (written and spoken Spanish and English, including review and drafting of legal documents); </div></li> <li> <div> Must have very strong contract drafting and negotiating skills; </div></li> <li> <div> Excellent organizational, time management and decision-making skills, with the ability to work independently and handle multiple projects efficiently in a fast-paced environment; </div></li> <li> <div> Self-starter with initiative and demonstrated creative problem-solving ability; </div></li> <li> <div> Ability to take ownership, negotiate and resolve issues; </div></li> <li> <div> Exercise judgement on complex, confidential and sensitive matters; </div></li> <li> <div> Strong work ethic, well-organized, and detail oriented; </div></li> <li> <div> Maintain a professional demeanor and ethical behavior at all times; and </div></li> <li> <div> Commercial acumen and ability to understand the business impact of legal decisions and apply a holistic view of the business to decisions. </div></li> </ul> <div> <i> Millicom | Tigo is proud to be an Equal Employment Opportunity employer committed to a diverse workforce and nondiscrimination policy in all aspects of employment.
