In this role, you will assist the Associate General Counsel/Corporate Secretary in corporate securities, public company disclosure and reporting and governance matters, and you will provide legal advice and guidance to other corporate departments including the Human Resources, Corporate Finance, Investor Relations and Corporate Communications departments. In addition, you will be part of our Environmental, Social and Governance (ESG) team that is responsible for our ESG website, Sustainability Report, ESG ratings and environmental initiatives. We are made up of high performing teams that meet in person to learn and collaborate as needed. This role is considered hybrid, which means you’ll be assigned to a Broadridge office and given the flexibility to work remote. Responsibilities: * Prepare public disclosures and SEC filings and ensure compliance with SEC and NYSE rules, including Forms 10-K, 10-Q, 8-K, proxy statements, Annual Reports, registration statements * Work closely with Corporate Secretary to prepare for Board and Committee meetings including agendas and calendar management * Help manage Broadridge’s annual meetings of stockholders * Provide counsel to the HR department regarding executive compensation matters, including prepare or review executive offer letters, equity award agreements, executive compensation arrangements, incentive and benefit plans, and preparation and review of materials for presentation to the Compensation Committee * Assist senior management, Investor Relations and Finance departments in preparation for quarterly earnings calls and filings, including review of earnings call scripts, earnings releases, and investor presentations * Manage public securities offerings and bank loan agreements, including deal structure, draft and negotiate transaction documents; and work with Treasury department to execute transactions Qualifications It is required that you are licensed to practice law and a member in good standing in New York state * A minimum of 5 years' experience as corporate, securities, governance, or transactional counsel in a top-tier law firm * Experience with executive compensation and benefits matters a plus * Strong drafting and communications skills are required * Skilled in the use of Microsoft Word, Powerpoint, Excel, Outlook, Sharepoint * Ability to manage multiple tasks simultaneously within strict deadlines with a high degree of accuracy * Ability to work both independently and collaboratively as a member of a team, and to strike a balance between legal and business risks and objectives #LI-LR _Disability Assistance_ We recognize that ensuring our long-term success means creating an environment where everyone is welcome, where everyone's strengths are valued and where everyone can perform at their best.
